Terms and Conditions for Livio

These Terms and Conditions (“Terms”) govern your access to and use of the Livio mobile application (“App”) and related services provided by Livio Healthy Living, Inc. (“we,” “us,” or “our”). You agree to be bound by these Terms by accessing or using the App. If you disagree, you may not access or use the App.

Acknowledgment

These Terms constitute an agreement between you and Livio Healthy Living, Inc. and not with Apple Inc. (“Apple”) or Google LLC (“Google”). Livio Healthy Living, Inc. is solely responsible for the App and its content. Your App use is subject to the usage rules outlined in the Apple Media Services Terms and Conditions or Google Play Terms of Service, which you acknowledge you have reviewed.

License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download and use the App on any Apple-branded device or Google Android™ device that you own or control, as permitted by the respective platform’s usage rules. Family Sharing or similar account-sharing features may also apply as defined by Apple or Google.

Maintenance and Support

Livio Healthy Living, Inc. is responsible for providing maintenance and support services for the App, if any. Neither Apple nor Google has any obligation to furnish maintenance or support services for the App.

Warranty Disclaimer

The App is provided “as is” and without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. If the App fails to conform to any applicable warranty, you may notify Apple or Google, and they may refund the purchase price (if any). To the fullest extent permitted by law, Apple and Google will have no other warranty obligations with respect to the App, and any other claims, damages, or losses related to warranty issues will be the sole responsibility of Livio Healthy Living, Inc.

Product Claims

You acknowledge that Livio Healthy Living, Inc. is responsible for addressing any claims related to the App, including but not limited to:

  • Product liability claims.

  • Claims that the App fails to comply with applicable legal or regulatory requirements.

  • Claims arising under consumer protection or similar laws, including using HealthKit, HomeKit, or Google Fit features.

Legal Compliance

By using the App, you represent and warrant that:

  • You are not located in a country subject to a U.S. government embargo or designated as a “terrorist-supporting” country.

  • You are not listed on any U.S. government list of prohibited or restricted parties.

Intellectual Property

All intellectual property rights in the App, including but not limited to content, software, and trademarks, are owned by Livio Healthy Living, Inc. You may not reproduce, distribute, or modify any part of the App without our prior written consent.

Third-Party Terms

When using the App, you agree to comply with all applicable third-party terms of service. This includes but is not limited to, your wireless data service agreement and any terms specified by Apple or Google.

Third-Party Beneficiary

You acknowledge and agree that Apple, Google, and their subsidiaries are third-party beneficiaries to these Terms. Upon your acceptance of these Terms, Apple and Google have the right to enforce these Terms against you as third-party beneficiaries.

Changes to Terms

We may update these Terms from time to time. The latest version will always be available within the App. Your continued use of the App constitutes your acceptance of any changes.
